Herbalife Finally Caught by the Feds, Must Pay Over $200 Mil in Fines to Government and SEC

Herbalife has finally been caught by the Feds. The phony baloney vitamin supplement company has to ante up over $200 million to the US government and the Securities and Exchange Commission. It’s about time.

I was writing about Herbalife 20 years ago, with its sketchy founder Mark Hughes. Their business dealings in more recent years have been under attack, but this is a real underscore to what a criminal endeavor the whole thing has always been.

HERBALIFE AGREES TO PAY $123 MILLION TO RESOLVE FOREIGN CORRUPT PRACTICES ACT CASE

Audrey Strauss, the Acting United States Attorney for the Southern District of New York (“SDNY”), and Acting Assistant Attorney General Brian C. Rabbitt of the Criminal Division of the United States Department of Justice (“DOJ”) announced today the filing of criminal charges against HERBALIFE NUTRITION, LTD. (“HERBALIFE”), a multinational corporation headquartered in Los Angeles, for conspiring to violate the books and records provisions of the Foreign Corrupt Practices Act (“FCPA”).  The charges arise out of a decade-long scheme by HERBALIFE to falsify books and records and provide corrupt payments and benefits to Chinese government officials for the purpose of obtaining, retaining, and increasing HERBALIFE’s business in China.  In connection with the filed charges, SDNY and DOJ entered into a deferred prosecution agreement (“DPA”) with HERBALIFE.  Pursuant to the DPA, HERBALIFE admitted to participating in the charged conspiracy and will pay a criminal fine of $55,743,093.

            Acting U.S. Attorney Audrey Strauss said:  “As admitted in the deferred prosecution agreement entered into today, Herbalife approved the extensive and systematic corrupt payments to Chinese government officials over a 10-year period to promote and expand Herbalife’s business in China.  Moreover, in an effort to conceal this widespread corruption scheme, Herbalife maintained false accounting records to mischaracterize these improper payments as permissible business expenses.  In addition to admitting its criminal conduct, Herbalife has agreed to pay combined penalties of more than $123 million.  This case signifies this Office’s commitment to ensuring that companies operating in the U.S. do not gain an unfair advantage through corruption and illegal bribes of foreign officials.”

Acting Assistant Attorney General Brian C. Rabbitt said:  “By engaging in a decade-long scheme to falsify its books and records to conceal corrupt and other improper expenditures, Herbalife misrepresented the information available to investors.  Today’s resolution reflects the department’s ongoing commitment to combating corruption and ensuring that investors can trust the accuracy of the financial statements of publicly traded companies.”

According to the allegations contained in the criminal Information, which was filed today in Manhattan federal court, the statement of facts set forth in the DPA, and other publicly available information:

HERBALIFE conducts business operations in China through a group of wholly owned subsidiaries based in China (collectively, “Herbalife China”).  By 2016, Herbalife China was responsible for approximately $860 million, or approximately 20 percent, of HERBALIFE’s worldwide annual net sales, which exceeded $4 billion.  In China, to engage in direct selling – selling a company’s products through independent sales representatives – Chinese law required a company to obtain a direct selling license from national authorities as well as local authorities for each province in which a company intended to engage in direct selling.  From March 2007 through 2016, Herbalife China obtained licenses to engage in direct sales in 28 provinces.

            Yangliang Li, a/k/a “Jerry Li,” was the director of sales and/or sales vice president at Herbalife China from in or about 2004 through in or about December 2007, and then the managing director of Herbalife China from in or about December 2007 through in or about April 2017.  From in or about December 2012 through in or about February 2017, Li also held the title of senior vice president at HERBALIFE.  Hongwei Yang, a/k/a “Mary Yang,” was a high-level executive at Herbalife China and the head of external affairs from in or about 2006 through in or about April 2017.

Beginning in or about at least 2007 through in or about 2016, HERBALIFE, through Li, Yang, and others, engaged in a scheme to falsify books and records and provide corrupt payments and benefits to Chinese government officials, including officials of Chinese government agencies and a state-owned media outlet, for the purpose of obtaining, retaining, and increasing HERBALIFE’s business in China by, among other things, (1) obtaining and retaining certain of Herbalife China’s direct selling licenses; (2) improperly influencing certain Chinese governmental investigations into Herbalife China’s compliance with Chinese laws applicable to its business; and (3) improperly influencing certain Chinese state-owned and state-controlled media for the purpose of removing negative media reports about Herbalife China.

During the course of the scheme, in order to conceal these improper payments and benefits, HERBALIFE, through Li, Yang, and others, knowingly and willfully conspired and agreed with others to maintain false accounting records that did not accurately and fairly reflect the transactions and dispositions of HERBALIFE’s assets, by, among other things, falsely recording certain improper payments and benefits as “travel and entertainment expenses” and maintaining false Sarbanes Oxley sub-certification letters in HERBALIFE’s books, records, and accounts.

In a related matter with the Securities and Exchange Commission (“SEC”), HERBALIFE agreed to pay to the SEC disgorgement and prejudgment interest totaling approximately $67,313,497.

            In November 2019, the Government unsealed related criminal charges against Li and Yang, both of whom remain at large.  See United States v. Li and Yang, 19 Cr. 760 (VSB).

            Ms. Strauss praised the outstanding work of the Federal Bureau of Investigation and the U.S. Department Justice’s Office of International Affairs of the Department’s Criminal Division, and also thanked the SEC for its assistance and cooperation in this investigation.

            This case is being handled by the Office’s Securities and Commodities Fraud Task Force and the FCPA Unit of the Fraud Section of DOJ’s Criminal Division.  Assistant United States Attorneys Joshua A. Naftalis and Scott A. Hartman, and Trial Attorney Jason Manning of the FCPA Unit, are in charge of the prosecution.

RNC Ratings for Night 4, on Broadcast Networks Remains Low with Just 5 Million Viewers

NBC 1.835 million

CBS 1.3 million

ABC 2.251 million

Whatever Donald Trump and the Republicans were selling, broadcast Tv viewers weren’t buying it.

The 4th night of the RNC brought in a steady 5 million people last night. The lions share was with ABC, which had 2.251 million viewers. CBS had the least, with 1.3 million. NBC fell in the middle with 1.835 million.

Again, if the RNC were a network show, it would be cancelled.

Both NBC and CBS were down significantly from Night 3. Only ABC went up. CBS was down by about 400,000 viewers.

Later today we’ll get cable numbers. Fox News, which has had declining numbers, will be of interest.

Of course Donald Trump droned on and on for 70 minutes, lying and making no sense. But that was also after his complicit daughter made a ridiculous speech. And she followed the widow of a slain policeman whose stepchildren didn’t want her to speak, and a woman who’d been released from a life sentence in prison and didn’t thank the person who saved her (Kim Kardashian).

So it was a night of gypsies, tramps, and thieves, ingrates, liars and let’s not forget the Mixed Martial Arts guy. He was the Kissinger of the night!

FRIDAY MORNING UPDATE: As Alice Johnson snubbed Kim Kardashian, Kim has posted not one word about Alice’s RNC speech, no congratulations. Kim must feel pretty betrayed after she was the who rescued Alice. I wonder how Kanye West feels now that his bff Trump has done such a crappy thing to his wife.

Thursday night: Maybe Alice Johnson should go back to jail.

At the RNC, she just told the world Donald Trump was responsible for getting her out of jail. I can’t believe I’m saying this, but she just threw Kim Kardashian under the bus and backed up over her.

It was Kardashian, improbably, who championed Johnson and brought her case to Trump. Johnson didn’t say Kim’s name ONCE tonight. It was quite unbelievable.

It was literally because Kim called the evil Jared Kushner and told him about Alice Johnson that they wound up in the Oval Office with Trump. He knew nothing about it. With all the good publicity, Trump commuted Johnson’s sentence and she was freed from prison. I can’t believe I’m defending Kim, but she must be pissed right now. Trump hijacked her victim.

Wow. Alice, you owe everything to Kim Kardashian and NOTHING to Donald Trump.

The irony, of course, is that Kim is married to Trump’s buddy, Kanye West, who’s trying to get on ballots to siphon off Biden votes. Hey Kanye, your buddy SCREWED your wife.

Back to jail, kiddo.

Review: Keanu Reeves, Alex Winter Bring “Bill and Ted” Back to “Face the Music” But No One is Punished Accordingly

I can’t say I was a particular fan of the first two Bill and Ted movies. Alex Winter and Keanu Reeves starred in those comedies back in 1998 and 2001, and they were sort of the poor man’s “Wayne’s World,” which isn’t saying a lot.

So why are they back in 2020? Money, baby. Someone thought there would be a nostalgia for the Valley Guy time travelers. Is there? I have no idea. But “Face the Music” will be the first film saved by the pandemic, as many will see it on TVs and computer screens, which are preferable to a big screen in this case.

Bill and Ted are now 50, they have young adult daughters (Samara Weaving and Brigette Lundy Paine) who are charming distaff clones of their dads. The guys are also married to much younger women, the mothers of the girls. One of them looks like Mandy Moore. They are fairly innocuous.

The plot of “Face the Music” is thinner than the newest iPhone. Bill and Ted must travel to the future to find themselves years from now and retrieve a rock song that will unite the world. I am not kidding. Meantime, the daughters go back in time to find them a great band including Jimi Hendrix, Mozart, and Louis Armstrong. Don’t ask. Also in this mix are a female Darth Vader played tongue in cheek by Holland Taylor, and a Rosencrantz and Guildenstern in the form of William Sadler (as Death, he appeared in the 1991 movie, and steals the film) and Anthony Carrigan as a ditzy robot.

Mostly, it’s a little send up of “Star Wars,” with a “Game of Thrones” set (as hell), and lots of well executed costumes and makeup, almost like a mega version of “Bewitched” when Tabitha would bring historical characters.

“Face the Music” is inoffensive and not memorable. It can only be hoped this is the last adventure for Bill and Ted, but you won’t be mad you said goodbye to them with all this goofiness. Rent it, it won’t hurt you.

PS The movie has 25 producers including Steven Soderbergh, and I have no idea why. He can’t need the money, if there is money here.

Ratings Shocker: So Far, Democrats Have Pummeled Republicans in Total Viewing Numbers Across All Networks

Here’s a shock: in the ratings race for viewers during convention coverage, the Democrats have outdrawn the Republicans by a wide margin.

Across all six networks, the Dems had 21.4 million viewers for their third night of the Convention.

Last night, the Republicans pulled only 15.6 million. And almost 7 million of those were on Fox News. And that number was DOWN from 2016. Night 3 for the GOP lost 2.3 million viewers from Night 2, which is really amazing since last night was supposed to the Big Night, with the Pences, ridiculous other people like Kellyanne Conway and Lara Trump.

The numbers come from the great Mitch Metcalf’s Showbuzz Daily.

Does it mean anything? It might mean that even Fox News viewers aren’t buying what the GOP is selling. Last night Fox News drew 6.9 million viewers from 10pm on. Four years ago, they had 7.3 million. The loss in the key demo was commensurate.

Of course, Fox News skews older, so some of their fans may have died in the intervening time. RIP.

Maybe there’s just fatigue, especially among hate-watchers. Count me in as one of those who’s watching CNN to see the crazy Republicans. Let’s see how things go tonight, when deplorable Ivanka Trump introduces her despicable father.

Must See: Sensational, Hilarious “Personal History of David Copperfield” from “Veep” Creator Drops in 1300 Theaters

Armando Iannucci’s hilarious and wonderful “Personal History of David Copperfield” opens tomorrow in 1300 theaters. Where? Not in New York or New Jersey except maybe at a drive in. But everywhere else, somewhere, you’ll see it advertised. Put on mask, a shield, whatever and GO. You will not regret it. Dev Patel is just terrific in the title role. The whole cast is great. It would be a shame if this film was squandered.

Disney’s Searchlight is releasing it, but last year “David Copperfield” premiered the Toronto Film Festival. So much has changed since then! Searchlight used to be Fox. Toronto used to be a festival. In the intervening year, not a single person has called me about this movie. But here’s my report from last September.

We’ve reached the point in this miserable culture where everyone including the very smart actor Dev Patel hears the words “David Copperfield” and thinks it’s the Las Vegas magician. Patel, star of the wonderful new “Personal History of David Copperfield” said as much last night on stage at the Princess of Wales Theater in Toronto after Armando Iannucci’s film debuted at the Toronto Film Festival.

Just about everyone in the audience and onstage felt that way, too.

Thank goodness for Iannucci, the creator of “Veep” and the director great satires like “In the Loop” and “The Death of Stalin,” knew better. He said he read Charles Dickens’ 900 page novel and immediately decided to make a film that emphasized, not cut out, the humor in the story of an orphaned lad from a classy background who is dumped into the real world and must make it on his own.

Iannucci’s version of “DC” is so splendid, fun, layered, and smart that I urge Fox Searchlight to issue it in time for the Oscars rather than waste it next winter. Iannucci’s movie is destined to be a masterpiece I think, it’s so fresh and unique, able to entertain on many levels at once. It’s actually a very subversive family film, perfect for the holidays.

There’s a little Monty Python and a lot of the Marx Brothers, even some Buster Keaton, as Iannucci and his team deconstruct David’s crusade to become something other than what people project on him. As he continually reminds everyone around him, “I am David Copperfield!” and not the myriad personas his various new friends assign him.

After his single mother is overtaken by a greedy, stupid husband (and his sister, played gloriously by Gwendolyn Christie), David is sent to work with other child laborers in a bottle factory in London. He’s taken in by a colorful, eccentric poor couple, the Micwabers (Iannucci regular Peter Capaldi, Bronagh Gallagher) who kick off what you could call a super contest for Best Supporting actors.

Just about overtaking them in this spirit are Tilda Swinton and Hugh Laurie as David’s nutty rich aunt and her own daffy cousin, Mr Dick. again, how to choose who gets what award? They are all so deeply enjoyable and genuinely funny, it’s hard to say. Into this mix comes Ben Whishaw, playing the timeless villain Uriah Heep with such glee there’s mayhem in his eyes. These people must have had a dangerously good time on the set, and it’s all conveyed here.

“David Copperfield” is just a delight, and will pick up awards attention not just for the actors, the precisely constructed script, and directing, but all below the line categories as well. There are magical moments of production design, editing and cinematography that would make Las Vegas’s Copperfield jealous. And don’t discount Dev Patel, who started with us on “Slumdog Millionaire” more than a decade ago and has never let up being ingratiating and a pleasure to watch on screen. He makes it look easy. Bravo to him!

Timing is Everything: Katy Perry Gives Birth to a Baby Named After New Single, And to an Album That Drops Tonight

Talk about timing!

Katy Perry gave birth to a baby girl yesterday named Daisy Dove. Her newest single is called “Daisies.” Which idea was first? Did she plan the single and then name the baby?

Katy gives birth twice this week. Tonight, she drops a new album called “Smile.” It will take a lot for it to outdo Taylor Swift’s “Folklore,” currently available in about 12 different forms except liquid. But I always like Katy’s records, they have a great sound. She’s a buoyant singer with a terrific voice.

What a week!

Mafia News: Final Mafia Member In 2017 Takedown Sentenced To Life In Prison For Murder, Racketeering, And Other Crimes

Is the Mafia still in business? Friends of mine were talking about this last weekend at brunch. The Godfather? The Sopranos? Isn’t that all over?

Nope.

Today Audrey Strauss, the Acting United States Attorney for the Southern District of New York, announced that Steven L. Crea, the Underboss of the Luchese Family, was sentenced today to life in prison, a $400,000 fine, and the forfeiture of $1 million following his conviction for the 2013 murder of Michael Meldish, conspiracy to commit racketeering, and other felonies. A jury convicted Crea and three co-defendants on November 15, 2019, following a six-week trial before U.S. District Judge Cathy Seibel, who also imposed today’s sentence.

Here’s the rest of the release:

Acting U.S. Attorney Audrey Strauss said: “Steven L. Crea – the Underboss of the Luchese Family – is the last of a dozen made men arrested in 2017 to be sentenced for his crimes. For his role in the 2013 murder of Michael Meldish and other crimes, Crea will now spend the rest of his life behind bars. Thanks to the outstanding investigative work of the FBI and NYPD, we continue our commitment to render La Cosa Nostra a thing of the past.”

According to the evidence presented at trial, the admissions of defendants who pled guilty, and other court documents:

STEVEN L. CREA was the Underboss, or second-in-command, of the Luchese Family of La Cosa Nostra, one of the “Five Families” that constitute the Mafia in the New York City area. From 2000 to his arrest in 2017, CREA helped lead the Luchese Family, which made millions of dollars in profit from crimes committed by the Family’s members and associates in New York City, Westchester, Long Island, New Jersey, and elsewhere. In 2013, CREA helped orchestrate the murder of Michael Meldish.

In May 2017, charges were filed against 12 members of the Luchese Family, including the Acting Boss, Underboss, Consigliere, four captains, and five soldiers, for their commission of a wide array of crimes with the Mafia from at least in or about 2000 up to and including in or about 2017. With the exception of one captain who died before his case was resolved, every Luchese Family member charged in this case either pled guilty or was convicted at trial. With CREA’s sentencing today, all have now been sentenced by Judge Seibel. Eight Mafia associates were also charged. All subsequently pled guilty or were convicted at trial, and seven have now been sentenced. The defendants were convicted of being leaders, members and associates of the Mafia, and committing crimes including the murder of Michael Meldish; three attempted murders – including the attempted murder of a former witness against the Mafia; multiple assaults; trafficking oxycodone, cocaine, and other drugs; extortion; millions of dollars in fraud against a public hospital in the Bronx; loansharking; operating illegal gambling businesses; and other crimes. A chart containing the ages, residency information, convictions, and sentences of the defendants is attached.

 

Big Network Ratings Drop for Republican Convention Parade of Strange Speeches, Including Lara Trump Who Never Mentions Being Married to President’s Son

Last night’s Republican Convention must certainly have gotten good ratings on Fox News.

But on the broadcast networks it was a dud.

Numbers fell on both ABC and NBC. Strangely, the numbers went up a little on CBS, which was already pretty low from Tuesday night.

Altogether, fewer than 5 million people tuned in on the big three networks starting at 10pm to hear Mike Pence, his wife, Kellyanne Conway, Lara Trump, and a smattering of odd types extol the virtues of Donald Trump while completely ignoring the 175,000 dead from the pandemic, or the rioting in cities over the killing of black men and women by police.

If the RNC were a regular series, it would be in danger of cancellation.

The strangest speech was from Lara Trump, the dimwitted daughter-in-law, who never mentioned her husband, Eric Trump, the husband’s much mocked son. He might take note of that. Poor Eric is apparently not even incidental. Watch the clip. She says she’s daughter, sister, and daughter in law. Never wife or mother.

 

 

Feel Old Now? “Home Alone” Child Star Macaulay Culkin Turns 40 Today, Happy Birthday! He’s Still a Kid to Us

Want to feel old?

Perennial kid Macaulay Culkin, star of “Home Alone” and many other movies, turns 40 today. I remember him as a kid, playing games at a place Hackers, Hoops, and Hitters in Chelsea back in the early 90s. He was a lovely, gracious kid then and he’s turned into a smart adult who’s weathered storms and come out stronger.

Macaulay is many things– actor, friend, unofficial godfather to Michael Jackson’s kids, and great friend to Michael during his 2005 trial. He’s always told the truth and stood up for justice.

He also has a devilish sense of humor that comes out in his Tweets, podcasts, and posts. A good humor is the best defense, and I think he’s figured that out. You can go a long way once you understand that.

He wisecracked on Twitter: “It’s my gift to the world: I make people feel old. I’m no longer a kid, that’s my job.”
